Merchant Terms & Conditions
Last updated: 5 October 2026
These Merchant Terms and Conditions (“Terms”) constitute a legally binding electronic contract under the Electronic Transactions Act 2010 (ETA) between Dailycrumbl Pte. Ltd. and you (“Merchant”, “Vendor”, or “you”). These Terms govern your registration, listing of goods or services, and operation on the Dailycrumbl platform, website, and associated digital services (collectively, the “Platform”).
By registering an account, accessing, or listing on the Platform, you acknowledge that you have read, understood, and agreed to be bound by these Terms.
1. Merchant Status & Platform Role
Technology Intermediary Only: Dailycrumbl operates solely as an online technology intermediary and marketplace facilitating discovery, digital ordering, and payment processing between independent merchants and consumers.
Independent Contractor: Nothing in these Terms creates an agency, partnership, joint venture, employer-employee, or franchise relationship. You operate as an independent business entity or sole proprietor.
Direct Merchant-Consumer Contract: When an order is placed, the contract for sale is formed directly and exclusively between you and the customer. Dailycrumbl is not a party to that transaction, does not take title to any products, and assumes no responsibility for customer contracts.
2. Onboarding, Free-Tier Access & Shop Autonomy
Zero Registration or Fixed Subscription Fees: Merchant onboarding and store listing on Dailycrumbl are 100% free. There are no recurring monthly maintenance fees, mandatory listing fees, or minimum account balance requirements.
Operational Control: You maintain autonomy over your shop operations. You may mark items as unavailable, set stock levels, and set your opening hours (which control the pickup slots customers can choose) at your discretion without financial penalty.
Accurate KYC & Business Representation: In accordance with regulatory requirements and the Consumer Protection (Fair Trading) Act 2003 (CPFTA), you must supply accurate, non-misleading business details, contact information, price indications, fulfilment timelines, and allergen/ingredient disclosures.
3. Platform Fees, Payment Gateway & Financial Settlement
Commission Fee Structure: Dailycrumbl charges an 8% commission on the order subtotal (after any discount you fund yourself). It is deducted automatically when the customer pays. Discounts funded by Dailycrumbl do not reduce your payout. If an order is refunded, the commission is returned.
All-Inclusive Transaction Coverage: The 8% commission encompasses all underlying payment gateway infrastructure charges (including Stripe Connect card processing and clearing fees). Dailycrumbl will not apply hidden payment deductions or additional transaction surcharges against your merchant payouts.
Automated Split Payouts via Stripe Connect: Merchant funds are processed and disbursed through Stripe Connect to your nominated Singapore bank account. Payouts are released following standard banking clearance cycles, subject to Stripe’s Connected Account Agreement and anti-money laundering (AML/CFT) checks under Singapore law.
Zero Sales, Zero Cost: If no customer transactions are completed through your storefront, you incur no fees or operational liabilities.
Goods & Services Tax (GST) Notice: Dailycrumbl Pte. Ltd. is currently non-GST registered. Any receipts or statements provided to you will not include GST. You are individually responsible for assessing your own GST liability and filing obligations with the Inland Revenue Authority of Singapore (IRAS).
4. Optional Paid Features, Vouchers & Crumbs
Visibility Upgrades: Dailycrumbl offers optional paid promotions, such as Featured Banners on the homepage and “Featured This Week” placements. These can be paid for in cash or, where offered, with Crumbs. Paid promotions are non-refundable once active, including for unused days.
Voluntary Engagement: Purchasing visibility upgrades is purely optional and does not relieve you of any fulfilment, quality, or regulatory obligations under these Terms.
Seller Vouchers: You may create discount vouchers for your own store, which customers redeem using Crumbs. You fund the discount on any voucher you create, and the commission in Section 3 is calculated on the order subtotal after that discount.
Merchant Crumbs: You may earn Crumbs on orders collected by customers through the Platform, and may spend them on promotions where offered. Crumbs have no cash value and are non-transferable.
Promotional Feature Vouchers: Promotional credits, signup vouchers, or promotional feature waivers issued by Dailycrumbl are non-transferable, possess zero cash value, and must be redeemed within their specified validity periods. Dailycrumbl reserves the right to withdraw unredeemed promotional credits upon reasonable notice.
5. Order Fulfilment, Consumer Rights & CPFTA Compliance
Fulfilment Responsibility: You are solely liable for the production, packaging, hygiene handling, timely preparation, and handover of orders at collection. Where you arrange your own delivery, you are equally responsible for that delivery.
Consumer Protection (Fair Trading) Act (CPFTA): Under Singapore’s lemon law and fair trading regulations, you must ensure that all goods supplied correspond strictly with their product description, are of satisfactory quality, and are fit for consumption or intended use. Misleading claims or unfair practices are strictly prohibited.
Cancellations, Defective Goods & Refunds:
- If you cannot fulfil an order by the selected pickup time, you must notify the customer and Dailycrumbl immediately.
- If you cancel a paid order, the customer is refunded in full automatically.
- Customers may also contact Dailycrumbl about an order, and Dailycrumbl may issue a full refund where an order is not fulfilled, is defective, or is otherwise disputed.
- When an order is refunded, your share of that order is reversed from your Stripe balance, which may make your balance negative.
Customer No-Shows: If a customer does not collect their order within the agreed pickup window, the order is non-refundable and you keep the payment, unless the failure to collect was caused by you (for example, you were unavailable at the agreed time).
6. Regulatory & Statutory Compliance in Singapore
You expressly represent, warrant, and certify that your business operations strictly comply with all relevant Singapore statutory bodies and regulations, including:
HDB / URA Home-Based Business Scheme:
- Your business operates within residential premises without causing nuisance, noise, smell, or excessive traffic to neighbours.
- You shall not display physical signboard advertisements outside your residential premises in violation of HDB/URA guidelines.
Singapore Food Agency (SFA) Standards:
- If you sell food and beverage (F&B) items, you must adhere strictly to the Environmental Public Health Act and SFA food safety guidelines.
- Ingredients must be sourced from SFA-regulated, licensed importers and distributors.
- F&B handlers are strongly urged to hold a valid WSQ Food Safety Course Level 1 certification.
- You shall not sell prohibited food items (such as raw, ready-to-eat oysters, raw blood cockles, or unpasteurised dairy).
Product Safety & Consumer Regulations: Non-food goods (e.g., candles, jewellery, skincare, cosmetics) must comply with the Consumer Product Safety Regulations (CPSR) and Health Sciences Authority (HSA) guidelines where applicable.
Services: If you offer services (e.g., nail care, beauty treatments, photography), you must hold any licences or qualifications required for those services, follow applicable hygiene and safety standards, and perform them with reasonable care and skill.
7. Data Protection & PDPA Compliance
Customer Personal Data: In fulfilling orders, you may receive personal data of customers (customer name, phone number and email address).
PDPA Obligations:
- In compliance with the Personal Data Protection Act 2012 (PDPA), you shall collect, access, and use customer personal data solely for the operational purpose of fulfilling the specific order.
- You are strictly prohibited from storing, exporting, selling, disclosing, or utilising customer personal data for unsolicited marketing, personal use, or secondary outreach without verified, explicit customer consent.
- You must implement reasonable technical and physical security arrangements to prevent unauthorised access or disclosure of customer data.
8. Intellectual Property
Merchant Content License: You retain legal ownership of all trademarks, brand names, product photographs, videos, and descriptions you upload. You grant Dailycrumbl a non-exclusive, royalty-free, worldwide license to host, display, adapt, and distribute your content across the Platform, social media marketing channels, and community promotions.
Third-Party Rights: You warrant that your listings do not infringe upon any third-party intellectual property, copyright, patent, or registered trademark.
9. Disclaimer of Warranties & Limitation of Liability
“As-Is” Service: Dailycrumbl provides the Platform on an “as-is” and “as-available” basis. We do not guarantee continuous, uninterrupted platform uptime or minimum sales figures.
Complete Product Liability Disclaimer: Dailycrumbl Pte. Ltd. has no control over and disclaims all liability for the quality, safety, legality, hygiene, or suitability of items or services provided by Merchants. We shall not be held liable for food poisoning, allergic reactions, burns, defects, delays in collection or merchant-arranged delivery, or physical injury resulting from products or services listed on the Platform.
Statutory Liability Cap: To the maximum extent permitted by Singapore law, Dailycrumbl’s aggregate liability to any Merchant for any claim arising out of these Terms shall not exceed the total platform commission fees retained by Dailycrumbl from that Merchant in the three (3) months immediately preceding the event giving rise to liability.
10. Indemnification
You agree to indemnify, defend, and hold harmless Dailycrumbl Pte. Ltd., its directors, officers, employees, and technology partners from and against any third-party claims, liabilities, damages, regulatory fines, losses, and legal costs arising from:
- Your breach of these Terms or any applicable Singapore laws (including SFA, HDB, URA, or PDPA regulations).
- Any product liability, defect, injury, illness, or property damage caused by items or services prepared, sold, provided, or delivered by you.
- Any dispute arising directly between you and a customer, or any delivery provider you engage.
11. Suspension & Termination
Termination by Merchant: You may terminate your merchant agreement at any time by closing your storefront and completing all pending, accepted customer orders.
Suspension/Termination by Dailycrumbl: Dailycrumbl reserves the right to immediately suspend, withhold payouts, or terminate any Merchant account if we reasonably suspect fraudulent behaviour, repeated unfulfilled orders, food hygiene breaches, customer harassment, or violation of SFA/HDB home business limits.
12. Governing Law, Dispute Resolution & Third-Party Rights
Governing Law: These Terms are governed by and construed in accordance with the laws of the Republic of Singapore.
Jurisdiction: The parties agree to submit to the exclusive jurisdiction of the courts of Singapore. The parties shall attempt to resolve any dispute in good faith through informal negotiation or mediation at the Singapore Mediation Centre (SMC) prior to commencing formal litigation.
Contracts (Rights of Third Parties) Act 2001: A person who is not a party to these Terms has no right under the Contracts (Rights of Third Parties) Act 2001 to enforce any provision of these Terms.
